User Aggreement

1. Introduction

1.1 Agreement

By using our services, you agree to all the terms. Your use of our services is also subject to our Cookie Policy and Privacy Policy, which cover how we collect, use, share and store your personal information.

By clicking on “Join Now”, “Join BOSSARENA”, “Register” or similar terms, registering, accessing or using our services (as defined below), you are entering into a legally binding contract with BOSSARENA (even if you are using our Services on behalf of a company). If you do not agree to this Agreement (“Agreement” or “User Agreement”), do not click “Join Now” (or similar) and do not access or use any of our Services. If you wish to terminate this Agreement, you may do so at any time by closing your account and ceasing to access or use our Services.

Services

This Agreement applies to all other services offered under this Agreement (“Services”), including any data collection activities conducted off-site for these Services, such as bossarena.com, BOSSARENA branded applications, and other BOSSARENA-related sites, applications, communications tools and advertisements, “Share with BOSSARENA” and “Apply with BOSSARENA” extensions. Registered users of our Services are referred to as “Members” and unregistered users are referred to as “Visitors”. Registered users of our Services are called “Members” and unregistered users are called “Visitors”.

BOSSARENA

You are entering into this Agreement with BOSSARENA (also referred to as “we”).

This Agreement is entered into by Vizyoner Patent Danışmanlık Bilişim İç ve Ticaret A.Ş. (BOSSARENA) and BOSSARENA is responsible for the control of your personal data provided by you or collected or processed by us in connection with our Services.

This agreement applies to Members and Visitors.

As a Visitor or Member of our Services, the collection, use and sharing of your personal data is subject to this Privacy Policy (including the Cookie Policy and other documents referred to in this Privacy Policy) and its updates.

1.2 Members and Visitors

When you register and participate in BOSSARENA Services, you become a Member. If you choose not to register for our Services, you will only have access to certain features as a “Visitor”.

1.3 Change

We reserve the right to make changes to the Agreement.

We may change this Agreement, our Privacy Policy and our Cookie Policy from time to time. When we make a significant change, we will notify you on our Service or otherwise provide you with an opportunity to review the changes before they become effective. We agree that these changes are not retroactive. If you object to any changes, you may close your account. Your continued use of our Services after we post or send you notice of changes to these terms will mean that you have accepted the updated terms as of the effective date.

2. Obligations

2.1. Eligibility for the Service

Here are some of the promises you make to us in this Agreement:

You must be competent to enter into this Agreement and at least the “Minimum Age” that we have set.

These Services are not intended for persons under the age of 16.

In order to use our Services, you agree to the following terms: (1)  You must be at or above the “Minimum Age” (defined below); (2) you must have only one BOSSARENA account and use your real name in those accounts; and (3) you must not be restricted by BOSSARENA from using our Services. Creating an account with false information, including creating an account in the name of another person or a person under the age of 16, is a violation of our terms.

“Minimum Age” means 16 years of age. However, if the law requires you to be older in order for BOSSARENA to legally provide you with the Services (including the use of your personal information) without parental consent, then that age will be the Minimum Age.

2.2 Your Account

You must keep your password confidential

You must not share your account with anyone and must comply with our rules and the law.

Members are the owners of the accounts. You agree to (1) use a strong password and keep it confidential; (2) not provide any part of your account (e.g., links) to anyone else; and (3) comply with the law, our Do’s and Don’ts, and the Professional Community Policies. You are responsible for everything that happens under your account unless you close your account or report abuse.

Your account is yours as between you and others (including your corporate partners). However, if a Service was purchased by another party for your use, the party purchasing that Service has the right to control your access to that paid Service and to receive reports on your use of that paid Service, but not with respect to your personal account.

You accept payment obligations and consent to our storing your payment information. You also acknowledge that there may be fees and taxes that may be added to our prices.

Refunds are made according to our policy.

If you purchase any of our paid Membership Services or any other of our on-platform services, you agree to pay us the applicable fees and taxes and any additional terms and conditions specific to that paid Service. Failure to pay these fees will terminate your subscription. You also agree to the following:

• The purchase price may include foreign exchange or price differences (e.g. exchange rates) depending on your location.
• Even after your paid service has expired, we may store and charge your payment method (e.g. credit card) to prevent interruptions in your Service and to use it to pay for other services you may purchase.
• If you purchase a subscription, at the beginning of each subscription period, your payment method will be automatically charged the fees and taxes applicable for that period. To avoid possible charges, cancel before the renewal date. Learn how to cancel or stop your Paid Services.
• All purchases you make regarding the Services are subject to BOSSARENA’s refund policy.
• We may calculate the taxes to be paid based on the billing information you provide during the purchase process.

You can get a copy of your invoice under the “Purchase History” section in your BOSSARENA account settings.

2.4. Notifications and Messages

You agree to us sending you notifications and messages through our website, applications and contact information. If your contact information is not up to date, you may not receive important notifications.

You agree that we may send you notifications and messages: (1) within the Service or (2) to the contact information you provide to us (e.g., email, mobile phone number, address). You agree to keep your contact information up to date.

Please check your settings to control and limit the messages you receive from us.

2.5 Sharing

When you share information on our Services, others may see, copy, and use that information.

Our Services allow you to send messages and share information in many different ways, including through your profile, posts, group posts, news links, job postings, and messages. The information and content you share or post may be viewed by other Members, Visitors, or other individuals (including those outside of our Services). When we make settings available to you, we respect the choices you make about who can see your content or information (e.g. message content to your addresses, sharing content only with BOSSARENA connections, not being able to find it in search engines). aki profile visibility or choose not to notify others of your BOSSARENA profile updates). We do not notify your connections or the public of your job search activities by default. This means,

We have no obligation to publish any information or content on our Services and may remove it with or without notice.

3. Rights and Restrictions

3.1. Your License to BOSSARENA

All content, feedback and personal information you provide to us belongs to you, however, you also grant us a non-exclusive license.

We respect the choices you make about who sees your information and content and how it may be used for advertising.

You own the content you submit or post on the Services, and you grant BOSSARENA and its affiliates the following non-exclusive license only:

A worldwide license to use, copy, modify, distribute, publish and process the information and content you provide through our Services without any other permission, notification and/or compensation to you or anyone else, and the right to transfer and sublicense such permission. These rights are limited as follows:

1. For certain content, you may terminate this license by deleting that content from the Services or by closing your account generally, except that: (a) you share it with other users as part of the Service and they copy, re-share or store it; and (b) we allow a reasonable period of time for it to be removed from backup and other systems.
2. We also do not include your content in advertisements for our products and third-party services (including sponsored content) without your permission. However, we have the right to display advertising around your content and information without compensation to you or any other person, and your social interactions may be displayed and included in advertisements as set forth in our Privacy Policy. If you use a Service feature, we may mention it by featuring your name or image to promote that feature within our Services, depending on your settings.
3. If we want to give other users the right to publish your content outside of the Services, we will obtain your permission. However, if you choose to post your content as “public, everyone or similar”, please be aware that we have a feature that allows other Members to place public posts on third-party services, and that we allow search engines to find public content on their own services. 
4.  Even if we edit or revise your content (by translating or copying, changing the size, layout or file type, or removing metadata), we will not change the meaning of your statement.

You and BOSSARENA agree that if a content contains personal data, it is subject to the Privacy Policy.

You and BOSSARENA agree that we may access, store, process and use any information and personal data you provide, in accordance with the terms of the Privacy Policy and your preferences (including settings).

When you submit suggestions or feedback to BOSSARENA regarding our Services, you agree that BOSSARENA may (but has no obligation to) use and share such feedback for any purpose without compensation to you.

You promise to only provide information and content that you have the right to share and that your BOSSARENA profile contains accurate information.

You agree to only share content and information that does not violate the law or the rights of others (including intellectual property rights). You also agree that your profile information will be accurate. In some countries, BOSSARENA may be required by law to remove certain information or content.

3.2. Service Availability

We may change or discontinue any Service or change our prices.

We may change, discontinue or terminate our Services. We may also change our prices by giving notice within the periods permitted by law.

We do not make any commitment to store or display the information and content you publish. BOSSARENA is not a storage service. Except for the cases required by applicable law and stated in our Privacy Policy, we do not accept any responsibility for the information you or other users provide. You acknowledge that we have no obligation to store, preserve or provide you with a copy of any information or content.

3.3 Other Content, Sites and Applications

You are responsible for your use of the content and information that other people post on our Services.

Other people may offer their own products and services through our Services, and we are not responsible for these third-party activities.

By using the Services, you may encounter content or information that is inaccurate, incomplete, late, misleading, illegal, offensive or harmful. BOSSARENA generally does not review the content provided by our Members or others. You acknowledge that we are not responsible for the content or information of others (including other Members). We cannot always prevent misuse of our Services, and you acknowledge that we are not responsible for such misuse. You also accept the risk that when we notify your connections and followers that you or your organization has been mentioned in the news, you or your organization may be inadvertently associated with such content. Members have options related to these features.

BOSSARENA may help connect Members who provide services (such as career coaching, accounting, etc.) with Members who are seeking to receive services. BOSSARENA does not provide these services and does not employ its employees to provide these services. You must be at least 18 years of age to provide, perform or purchase these services. You acknowledge and agree that BOSSARENA does not manage, direct, control or monitor the members who provide these services: (1) BOSSARENA is not responsible for the provision, performance or purchase of these services, (2) BOSSARENA does not endorse any services provided by its Members, and (3) no transaction creates an employment, franchise or partnership relationship between BOSSARENA and the members providing the services. If you are a Member providing services, you represent and warrant that you have all necessary permissions and will provide your services in accordance with our Professional Community Policies.

Similarly, BOSSARENA may assist you in registering for and/or attending events hosted by Members and connecting you with other Members attending such events. You acknowledge that: (1) BOSSARENA is not responsible for the conduct of any Member or other participant in such events, (2) BOSSARENA does not endorse any events displayed on our Services, (3) BOSSARENA does not investigate and/or review any such events, and (4) You will comply with these terms and conditions when applying for such events.

3.4. Restrictions

We have the right to limit how you connect and interact with our Services.

BOSSARENA reserves the right to limit your use of the Services, including the number of connections you have and your ability to connect with other Members. If you violate this Agreement or the law or misuse the Services (e.g., violations of the Dos and Don’ts or the Professional Community Policies), BOSSARENA reserves the right to restrict, suspend or close your account.

3.5 Intellectual Property Rights

We notify you of our intellectual property rights.

BOSSARENA reserves all intellectual property rights in the Services. The trademarks and logos used in connection with the Services are the trademarks of their respective owners. BOSSARENA logos and other BOSSARENA trademarks, service marks, graphics, and logos used for our Services are trademarks or registered trademarks of BOSSARENA.

3.6 Automatic Processing

We use data and information to provide you and others with more relevant recommendations.

We use the information and data you provide and that we have about Members to suggest links, content, and features that may be useful to you. For example, we use data and information about you to suggest you to people who may be interested in developing business with you. Keeping your profile accurate and up-to-date helps us provide you with more accurate and relevant recommendations. 

4. Disclaimer and Limitation of Liability

4.1. No Warranty

This section contains a legal disclaimer of liability for the quality, security or reliability of our Services.

BOSSARENA AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES, INCLUDING THE WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND THE SERVICES (CONTENT AND INFORMATION) “AS IS” AND “AS AVAILABLE.” BOSSARENA AND ITS AFFILIATES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DISCLAIM ALL WARRANTIES, EXPRESS OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

4.2. No Liability

There are limits to our legal liability to you.

TO THE EXTENT PERMITTED BY APPLICABLE LAW (AND UNLESS BOSSARENA HAS BEEN A PARTY TO A SEPARATE WRITTEN AGREEMENT THAT VOIDS THIS AGREEMENT), BOSSARENA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST BUSINESS OPPORTUNITY, LOSS OF REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., SYSTEM FAILURE OR LOSS, USE OR ALTERATION OF YOUR INFORMATION OR CONTENT), OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, NOT LIABLE FOR SPECIAL OR PUNITIVE DAMAGES.

BOSSARENA AND ITS AFFILIATES ARE NOT LIABLE TO YOU UNDER THIS AGREEMENT FOR (A) THE TOTAL AMOUNTS YOU PAID TO BOSSARENA FOR SERVICES DURING THE TERM OF THIS AGREEMENT.

4.3 Basics of Agreement; Exceptions

Even if BOSSARENA or its affiliates have been advised of the possibility of damages and these remedies fail to achieve their purpose, the limitations on these liabilities set forth in Section 4 are fundamental to the agreement and you and BOSSARENA must perform these obligations (e.g. warranty, negligence, breach, contract and law).

These limitations on liability do not apply in cases of death or personal injury, fraud, gross negligence or willful misconduct, or breach of a material obligation, which is a precondition for our provision of services and on which you can reasonably rely, to the extent that the damages result directly from the breach and are foreseeable upon completion of this Agreement and are defined in the context of this Agreement.

5. Termination

Either party may terminate this Agreement, but certain rights and obligations continue.

BOSSARENA or you may terminate this Agreement at any time by giving notice to the other party. In the event of termination, you will lose the right to access or use the Services. The following will survive termination:

• Our right to use and publish your feedback;
• The right of Members and/or Visitors to re-share content and information you have shared on the Services;
• Sections 4, 6, 7, and 8.2 of this Agreement;
• Any amounts owed by either party prior to termination will remain payable after termination.

You may visit our Help Center to close your account.

6. Governing Law and Dispute Resolution

In the unlikely event that we have a legal dispute, depending on where you live, you and BOSSARENA agree to resolve such dispute in the Turkish courts under Turkish law.

If you are a commercial user within the meaning of Article 6(12) of the EU Digital Markets Act (“DMA”) and have a dispute arising out of or in connection with Article 6(12) of the DMA, you should contact us.

You and BOSSARENA agree that the laws of Turkey, excluding its conflict of laws rules, shall have exclusive jurisdiction over any disputes relating to this Agreement and/or the Services. You and BOSSARENA agree that you may only sue in the courts of Turkey for any such claims and disputes, and you and BOSSARENA agree to personal jurisdiction in such courts.

7. General Provisions

Some important details regarding the Agreement are set forth herein.

If a court with jurisdiction over this Agreement finds any part unenforceable, you and we agree that the court should modify the provisions to ensure that such part is enforceable while preserving its intent. If the court is unable to do so, you or we agree to request the court to remove the unenforceable section and enforce the remainder of the Agreement.

This Agreement (together with any additional terms that we may offer when using any feature of the Services) is the sole agreement between us regarding the Services and supersedes all prior agreements regarding the Services.

If we fail to take any action regarding a breach of this Agreement, this will not result in BOSSARENA’s failure to comply with this Agreement. This Agreement (or your membership or use of the Services) is not a waiver of the right to enforce this Agreement. You may not assign or transfer this Agreement (or your membership or use of the Services) to anyone else without our consent. However, BOSSARENA may assign this Agreement to its purchasing partners or any party without your consent. There are no third party beneficiaries to this Agreement.

You agree that the only way to send us legal notice is to the address specified in Section 10.

8. “Dos” and “Don’ts” for BOSSARENA User

BOSSARENA is a community of business people who are business owners or partners. The “Do’s and Don’ts” list and Professional Community Policies restrict what you can do on our Services.

8.1. Do’s

You agree to:

0. Comply with all applicable laws, including, but not limited to, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
1. Provide us with accurate information and keep it up to date;
2. Use your real name in your profile; and
3. Use the Services in a professional manner.

8.2. What Not to Do

You agree not to:

4. Create a false identity on BOSSARENA, misrepresent yourself, create a member profile on behalf of someone other than yourself (a real person), or use or attempt to use someone else's account
5. Develop, support or use software, devices, scripts, robots or other tools or processes (crawlers, browser add-ons and plug-ins or any other technology) to obtain the Services or copy profiles and other data from the Services;
6. Override any security features or bypass or disable access controls or Service usage limits (including uppercase and lowercase letters in keyword searches);
7. Use information obtained from the Services, directly or through third parties, without the permission of BOSSARENA copy, use, disclose or distribute;
8. Disclosure of information that you do not have the right to disclose (for example, confidential information of others (including your business partner);
9. Violation of intellectual property rights, such as copyright, patent, trademark, trade secret, or other proprietary rights of others. For example, do not copy or distribute other users’ posts or other content without permission (except for the sharing feature);
10. Violation of BOSSARENA intellectual property or other rights, including without limitation (i) copying or distributing training videos or other materials; or (ii) copying or distributing our technology unless released under open source licenses; (iii) use of the word “BOSSARENA” or its logos in any company name, email or URL except as provided in the Brand Guidelines;
11. Sending anything that contains software viruses, worms or other harmful code;
12. Reverse engineering, decompiling, disassembling, disassembling or attempting to derive the source code for the Services or related technology that is not open source;
13. Implying or indicating that you are affiliated with or endorsed by BOSSARENA unless expressly permitted (e.g., representing yourself as a certified BOSSARENA instructor);
14. Renting, leasing, lending, selling or otherwise converting the Services or access to related information or data without BOSSARENA’s permission;
15. Deep linking to our Services for any purpose other than promoting your profile or a Group on our Services without BOSSARENA’s permission;
16. Use of bots or other automated methods to access the Services, add or download contacts, send messages or redirect;
17. Monitoring the availability, performance or functionality of the Services for competitive purposes;
18. “Framing”, “mirroring”, or otherwise imitating the appearance or function of the Services;
19.  
Disable or otherwise modify the Services or their appearance (such as adding an element to the Services or removing, disabling or blocking an advertisement on the Services);
20. Interfere with the operation of the Services or impose a load on the Services that exceeds reasonable limits (e.g. spam, denial of service attack, virus, gaming algorithms); and/or
21. When you register for or begin using a Service, violations of the Professional Community Policies or any additional terms applicable to a particular Service offered to you.

9. Content Complaints

Contact information for complaints about content provided by our Members.

We respect the intellectual property rights of others. We require that information submitted by Members is accurate and does not infringe on the intellectual property rights or other rights of third parties. We maintain a policy and process regarding content submitted by our members.
